Terms of Service

The agreement between you and StartUpUniverse Limited for the use of Nettry.

1. The Service

Nettry is a Shopify-embedded SaaS application that helps merchants track real profit by combining Shopify order data with ad spend and payment processing fees. The service is delivered through the Shopify admin and requires an active Shopify store.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of the Shopify store you install Nettry on. You are responsible for keeping your Shopify account credentials secure. Nettry authenticates every request through Shopify session tokens and never stores your Shopify password.

3. Pricing and Billing

• Plan: Nettry Pro, USD 14.99 per month, flat rate.
• Billing channel: charged by Shopify through the Shopify Billing API and invoiced on your regular Shopify bill.
• Free trial: new installs receive a 7-day free trial. No card is charged during the trial period.
• Taxes: Shopify handles tax collection and remittance where applicable.
• Price changes: any future price change will be announced at least 30 days in advance inside the app, and you may cancel before the new price takes effect.

4. Cancellation

You can cancel at any time from your Shopify admin by uninstalling the Nettry app. There is no minimum commitment and no cancellation fee. Charges already billed for the current cycle are not refunded on a pro-rata basis, except where required by law.

5. Data and Privacy

Your use of Nettry is governed by the Privacy Policy, which forms part of these Terms. On uninstall, all store data is deleted within 48 hours in line with Shopify GDPR compliance webhooks.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of Nettry.
• Circumvent billing, trial limits, rate limits, or access controls.
• Use Nettry to store or process unlawful content or to violate third-party rights.
• Resell, sublicense, or white-label the service without a written agreement.
• Send automated traffic beyond what is required for normal product use.

We may suspend or terminate access if we believe the service is being abused. We will reach out before doing so whenever it is feasible.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance, upstream outages at Shopify, Meta, Google, TikTok, Supabase, or Railway, or force majeure events may affect availability. We will communicate material incidents inside the app or by email where relevant.

8. No Financial Advice

Nettry reports profit figures derived from the data sources you connect. These figures are informational only and are not accounting records, tax advice, investment advice, or financial advice. You remain responsible for your own bookkeeping, tax filings, and business decisions. Always reconcile numbers against your official accounting system before using them for reporting or compliance.

9. Warranty Disclaimer

The service is provided as is and as available, without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that profit calculations, projections, or dashboards are error-free or complete.

10. Limitation of Liability

To the maximum extent permitted by law, StartUpUniverse Limited, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to your use of Nettry. Our total aggregate liability for any claim arising out of these Terms is limited to the amount you paid for Nettry in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless StartUpUniverse Limited from any claims, damages, and expenses arising from your misuse of the service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Termination

These Terms apply for as long as Nettry is installed on your store. We may terminate the agreement for material breach. You may terminate at any time by uninstalling. Sections that by their nature should survive termination (payment obligations, disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. Material changes will be surfaced inside the app. Continued use of Nettry after an update constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles. The courts of Hong Kong SAR shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless mandatory local consumer protection law provides otherwise.
